These Terms of Service ("Terms") govern your access to and use of the DealFlow website, applications, and software (the "Service") operated by DealFlow LLC ("DealFlow", "we", "us", or "our"). By creating an account or subscribing to the Service, you agree to these Terms.

1. The Service

DealFlow provides a software-as-a-service platform that helps creators and small teams track, manage, and organize brand partnerships, outreach, contracts, and payments. The Service is provided on a monthly subscription basis.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@deal-flow.systems of any unauthorized use.

3. Subscriptions and billing

• Subscriptions are billed monthly in advance in U.S. dollars.
• Your subscription automatically renews each month until canceled.
• Applicable taxes may be added at checkout.
• You may cancel at any time from your account settings or by emailing support. Cancellation takes effect at the end of the current billing period.
• Failed payments may result in suspension or termination of the Service.

4. Refunds

Refunds are handled under our Refund Policy, which is incorporated into these Terms.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
• Reverse engineer, decompile, or attempt to derive source code from the Service.
• Resell, sublicense, or redistribute the Service without our written permission.
• Use the Service to send spam, malware, or infringing content.

6. Intellectual property

The Service, including all software, text, graphics, and trademarks, is owned by DealFlow or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service during your active subscription.

7. User content

You retain ownership of any data you upload into the Service ("User Content"). You grant DealFlow a limited license to host, store, and process User Content solely to provide the Service to you.

8. Third-party services

The Service may integrate with third-party services (e.g., calendar, email, payment processors). Your use of those services is governed by their own terms, and we are not responsible for their content, policies, or practices.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any specific business outcome, revenue, or result from using the Service.

10. Limitation of liability

To the fullest extent permitted by law, DealFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising from your use of the Service. Our total liability shall not exceed the amount paid by you to DealFlow in the twelve (12) months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your account at any time. Upon termination, your right to use the Service ends immediately.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or through the Service. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of the United States and the state in which DealFlow is registered, without regard to conflict of law principles.
